EN ENB2B SALES TERMS
These B2B Sales Terms apply exclusively to business-to-business transactions within Greece.
For exports and international orders, separate sales terms apply and are agreed in writing on a case-by-case basis.
These B2B Sales Terms apply to all sales of professional machinery, equipment, components and spare parts by GARBY ANKA S.A. to professionals, businesses, resellers and legal entities within Greece.
By accepting a quotation, confirming an order or receiving products, the buyer accepts these terms, unless otherwise agreed in writing with the company.
Prices apply only to the specific quotation or order and are stated as net values, excluding VAT, transport costs, insurance, fees, installation costs or any other charges, unless otherwise stated in writing.
Each quotation is valid only for the period stated in it. If no validity period is stated, the quotation is not considered binding until final written confirmation by GARBY ANKA S.A.
The company reserves the right to adjust prices before final order confirmation in the event of changes in the cost of raw materials, components, transport, energy, exchange rates or other factors affecting production or supply costs.
The cost of recycling electrical and electronic equipment, as well as the cost of recycling or disposal of packaging materials, such as cardboard boxes, plastic wrapping, pallets or other packaging materials, is not included in the prices, unless otherwise stated in writing, and is borne by the buyer in accordance with the applicable legislation.
An order is considered accepted only after written confirmation by GARBY ANKA S.A. or after the issue of the relevant sales document.
Verbal agreements, telephone communications or message exchanges do not bind the company unless confirmed in writing.
In the case of special constructions, modified products or products customized to the buyer’s requirements, the order becomes final after written acceptance of the quotation or payment of any agreed deposit.
Payment of the invoice must be completed no later than upon delivery of the products, unless otherwise agreed in writing.
Accepted payment methods are:
Credit cards, promissory notes, cheques, negotiable instruments and cash payments above the legally permitted limit are not accepted.
GARBY ANKA S.A. issues only B2B sales documents, such as sales invoices or service invoices, and does not issue retail receipts.
Any bank charges, transfer fees or payment commissions are borne by the buyer, unless otherwise agreed in writing.
Products are delivered at the premises of GARBY ANKA S.A., unless otherwise agreed in writing.
The buyer is responsible for selecting and coordinating the transport company or courier, as well as for all transport, loading, unloading, insurance and any additional charges.
The risk of loss, wear or damage to the products passes to the buyer from the moment the products are delivered to the buyer, to the buyer’s representative or to the transport company selected for delivery.
GARBY ANKA S.A. is not responsible for damage, loss, delays or additional costs arising during transport.
The buyer must inspect the condition of the packaging and products upon receipt from the transport company and immediately declare any damage or shortages on the relevant transport documents.
Delivery times stated in quotations, communications or order confirmations are indicative, unless a specific binding delivery date has been expressly agreed in writing.
Delays due to production workload, availability of raw materials or components, transport issues, force majeure or other circumstances beyond the company’s direct control do not give the buyer the right to claim compensation or cancel the order.
The company informs the buyer of significant delays whenever possible.
If the buyer does not collect the products within ten (10) days from notification of readiness or availability, GARBY ANKA S.A. may charge storage, handling or rescheduling costs.
In the event of prolonged failure to collect, the company reserves the right to invoice the products, cancel the order, make the products available to a third party or claim compensation for any costs or damage.
The buyer is responsible for any wear, costs or losses resulting from failure to collect the products on time.
Ownership of the products remains with GARBY ANKA S.A. until full payment of the relevant invoice and any other agreed amount connected with the order.
Until full payment has been made, the buyer is not entitled to resell, transfer, pledge, encumber or otherwise dispose of the products without the company’s prior written consent.
In the event of non-payment, GARBY ANKA S.A. reserves the right to request the return or recovery of the products, without prejudice to any other legal rights.
GARBY ANKA S.A. reserves the right to modify the design, materials, components, dimensions or technical specifications of its products without prior notice when required for technical improvement, safety, production or availability reasons.
The technical specifications applicable to each order are those confirmed in writing by the company.
Minor technical or aesthetic deviations that do not affect the basic function and use of the product do not constitute grounds for order cancellation or compensation claim.
Installation, connection, use and maintenance of the products must be carried out in accordance with the company’s instructions, user manuals, safety requirements and applicable legislation.
The safe operation of the machinery depends on proper installation, correct use, operator training and regular maintenance.
GARBY ANKA S.A. is not responsible for defects, damage, accidents or malfunction resulting from incorrect installation, misuse, insufficient maintenance, unsuitable electrical supply, bypassing of safety devices, failure to follow instructions or unauthorized interventions.
The product warranty applies according to the specific terms stated in the quotation, sales document, user manual or separate warranty document issued by the company.
The warranty covers manufacturing or material defects, provided that the product has been installed, used and maintained in accordance with the instructions of GARBY ANKA S.A.
The warranty does not cover defects, damage or wear caused indicatively by:
Technical inspection, repair or replacement under warranty does not automatically extend the total warranty period, unless otherwise provided by applicable legislation or agreed in writing.
The supply of spare parts and the provision of technical support depend on availability, machine type, product age and technical condition.
The company reserves the right to refuse warranty coverage, technical support or a conformity statement for products that have been modified, repaired or altered by unauthorized workshops or third-party technicians.
For older machines or machines that have been modified or repaired, a prior technical inspection may be required before the supply of spare parts, service or any technical statement.
Product returns are accepted only with the prior written approval of GARBY ANKA S.A.
Special constructions, modified products, products manufactured or customized according to the buyer’s requirements, as well as used or installed products, cannot be returned or cancelled after order confirmation.
The company reserves the right to reject the return of any product that is not in its original condition, has been used, has been damaged or is not accompanied by the relevant sales documents.
The liability of GARBY ANKA S.A., if proven, is limited to the value of the product related to the specific order.
The company is not liable for indirect, consequential or incidental damages, including but not limited to loss of profits, business interruption, production loss, work delays, third-party claims or additional costs incurred by the buyer.
The company is not liable for damage caused by misuse, incorrect installation, insufficient maintenance, unstable electrical supply, failure to follow instructions, unauthorized interventions or external factors.
GARBY ANKA S.A. is not liable for delays or inability to perform its obligations caused by force majeure events or circumstances beyond its reasonable control.
Such events include indicatively natural disasters, strikes, war events, government measures, power outages, shortages of raw materials or components, supplier delays, transport problems, pandemics or other extraordinary circumstances.
These B2B Sales Terms are governed by Greek Law.
Any dispute arising from a sale, quotation, order or transaction with GARBY ANKA S.A. shall fall under the exclusive jurisdiction of the courts of Athens, Greece.
